Welcome to Ohrbit (“the App”), a project of the Orthodox Union, a nonprofit organization dedicated to making Torah study accessible to learners of all ages through modern technology (“Orthodox Union,” “we,” “us,” or “our”).
By using the App, you (“you,” “your,” or “User”) agree to be legally bound by these Terms of Use (“Terms”). Please read them carefully. If you do not agree, you may not access or use the App.
BINDING ARBITRATION
THESE TERMS CONTAIN PROVISIONS THAT GOVERN HOW CLAIMS YOU AND ORTHODOX UNION MAY HAVE AGAINST EACH OTHER CAN BE BROUGHT. THESE PROVISIONS WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST ORTHODOX UNION TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. PLEASE REVIEW SECTION 16 FOR THE DETAILS REGARDING YOUR AGREEMENT TO ARBITRATE ANY DISPUTES WITH ORTHODOX UNION.
1. Purpose and Mission
The App is designed to support Torah learning and engagement through the use of artificial intelligence (“AI”) and other educational tools. Our mission is to deepen understanding and appreciation of Torah values and texts.
All information provided through the App is for educational and informational purposes only. It is not intended to serve as halachic (Jewish legal) or religious rulings. For personal or practical questions in halacha, users should consult a rabbinic authority.
2. Intellectual Property
All information, content, and materials within the App, including text, AI models, source code, design, graphics, educational content, databases, functionality, software, audio, video, text, photographs, and images in the App (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks") are the property of the Orthodox Union or its licensors, and are protected by U.S. and international copyright and trademark laws.
You may use the App’s Content solely for personal, educational, and noncommercial Torah study.
No Content may be exploited for any commercial purpose, copied, modified, distributed, reproduced, published, redistributed, framed, in whole or in part, without our prior written permission. All rights not expressly granted herein are reserved to us and our licensors.
3. Eligibility
The App is intended for use by individuals of all ages.
Minors may use the App only with the consent and supervision of a parent or legal guardian. Parents and guardians are responsible for ensuring that their children use the App in accordance with these Terms.
By using the App, you represent that you (or your parent/guardian, if applicable) agree to these Terms and have the legal right to do so.
4. Use of Artificial Intelligence
The App uses AI to generate study aids, explanations, translations, and discussion prompts based on Torah sources. While we strive for accuracy, the AI may produce content that is incomplete, imprecise, or not fully aligned with specific religious interpretations.
AI responses are generated automatically and are not reviewed by rabbinic authorities unless expressly noted. Users are encouraged to verify all Content through traditional study or trusted teachers.
We may use de-identified usage data to train AI and improve educational quality and AI performance.
5. Acceptable Use
You agree to use the App in a respectful and lawful manner, consistent with Torah values. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to:
- access the App;
- and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
You may not:
- Use the App in any way that could disable, disrupt, overburden, or damage its operation or impair the App or interfere with any other party’s use of the App;
- Copy, modify, distribute, or exploit App Content or code for commercial purposes;
- Use the AI features to generate disrespectful, hateful, or misleading content about Torah, Judaism, or any individual or group;
- Use the App to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the App, or which, as determined by us, may harm us or users of the App or expose them to liability;
- Use any robot, spider or other automatic device, process or means to access the App for any purpose, including monitoring or copying any of the materials on the App;
- Use any manual process to monitor or copy any of the materials on the App or for any other unauthorized purpose without our prior written consent;
- Use any device, software or routine that interferes with the proper working of the App;
- Otherwise attempt to interfere with the proper working of the App;
- or Violate any applicable federal, state, or local law.
You are further prohibited from violating or attempting to violate the security of the App, including, without limitation, by (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) accessing or using the App or any portion thereof without authorization; or (d) introducing any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
We reserve the right to suspend or terminate access if these rules are violated at our sole discretion.
6. User Registration
You may register an account through the App. You agree that the information you provide to us during the registration process and at all other times when you use the App is accurate, current, and complete, and that you will keep it up-to-date at all times. If you provide any information that is, or that Orthodox Union has reasonable grounds to suspect is, untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the App (or any portion thereof).
You are the sole authorized user of any account you create through the App and are solely and fully responsible for all activities that occur under your account. You may not authorize others to use your accountholder status, and you may not assign or otherwise transfer your account to any other person or entity. If you have reason to believe that your account is no longer secure, you must immediately notify us by contacting us at ohrbit@ou.org. Orthodox Union will not be liable for losses, damages, liability, expenses, and fees incurred by us or a third party arising from someone else using your account regardless of whether you have notified us of such unauthorized use. You understand and agree that we may require you to provide information that may be used to confirm your identity and help ensure the security of your account.
7. Privacy and Children’s Use
We are committed to protecting user privacy. Please refer to our Privacy Policy for details on how we handle personal information. By using the App, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.
If you believe a child has used the App without consent, please contact us at ohrbit@ou.org and we will take commercially reasonable steps to promptly address the matter.
8. Parental Responsibilities
Parents and guardians of minors using the App agree to:
- Supervise their child or guardianee’s usage of the App;
- Monitor their child or guardianee’s interactions with AI-generated content
- and Contact us promptly with any questions or concerns regarding privacy, safety, or Content accuracy.
9. Feedback
All material, information or other communication you submit, transmit, upload or post to this App including any reviews, photographs, videos, ideas, comments, suggestions, feedback, data, images, sounds, text or the like (“Feedback”) will be considered non-confidential and non-proprietary. Except with respect to personal information, which we will collect, use and disclose in accordance with our Privacy Policy, Orthodox Union will have no obligations with respect to the Feedback. You hereby assign to Orthodox Union all intellectual property rights, including any moral, publicity and privacy rights you have in any Feedback. By submitting the Feedback to Orthodox Union, you agree Orthodox Union is free to use the Feedback, without limitation and without any compensation to you, for any purpose whatsoever and in identifiable or de-identified form. Without limitation, Orthodox Union and its designees will be free to copy, disclose, distribute, incorporate, publicly display, publicly perform, modify, create derivative works of, commercialize and otherwise use the Feedback for any and all commercial or noncommercial purposes anywhere in the world.
10. Links to Third-Party Sites or Online Services
The App may contain links to third-party websites and online services. Any access to and use of such third-party websites or online services is not governed by our Privacy Policy or these Terms but is instead governed by the privacy policies and terms of use of those third-party websites or online services, and we are not responsible for the information practices of such third-party websites or online services.
11. Disclaimers
YOU AGREE THE APP AND ITS CONTENT ARE PROVIDED “AS AVAILABLE” AND “AS IS” FOR EDUCATIONAL PURPOSES ONLY. YOU AGREE THAT YOUR USE OF THE APP WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ACCESS TO OR USE OF THE APP WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE APP WILL BE CORRECTED. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE APP, (3) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT, MADE AVAILABLE VIA THE APP. WE DO NOT GUARANTEE THAT AI-GENERATED INFORMATION IS HALACHICALLY ACCURATE, COMPLETE, OR RELIABLE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE ORTHODOX UNION, OUR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, LOSSES, OR CLAIMS RESULTING FROM YOUR USE OR INABILITY TO USE THE APP, INCLUDING RELIANCE ON AI-GENERATED CONTENT.
Any claims arising in connection with your use of the App must be brought within one (1) year of the date of the event giving rise to such action occurred.
13. Indemnification
You hereby agree to indemnify, defend, and hold harmless the Orthodox Union and our officers, directors, employees, agents and contractors from any claims; demands; judgments; losses; costs related to defense; and damages, including reasonable attorneys’ fees, expenses, and court costs, arising or resulting from any violation by you of these Terms or from our termination of your access to or use of the App.
14. Modifications
We may update these Terms periodically. Updates will be posted on this page with a revised effective date. Continued use of the App after such changes constitutes acceptance of the updated Terms. The amended Terms supersede all previous versions.
15. Term and Termination
These Terms shall remain in full force and effect while you use the App. We may suspend, limit, or terminate access to the App at any time, for any reason, including for violation of these Terms or misuse of the App, the Content, or any AI features at our sole discretion and without notice or liability. Such termination will not affect either party’s rights or obligations, which accrued before the termination.
16. Arbitration
Any and all disputes arising out of or relating to this Agreement, or its making, performance or interpretation, shall be determined by binding arbitration before either The Bais Havaad Halacha Center located in Lakewood, New Jersey, or the Beis Din Tzedek Umishpot located in Brooklyn, NY. The parties agree to accept the ruling and award of such Orthodox Beit Din as a final, binding, non-appealable, and legally enforceable decision.
If this arbitration agreement is invalidated in whole or in part, by a court, then the entire arbitration agreement shall be null and void and either party may elect to proceed with the dispute in court. The parties agree that the exclusive jurisdiction in Section 17 (Governing Law; Jurisdiction) shall govern the claim.
If for any reason a claim proceeds in court rather than in arbitration, we each acknowledge and agree that we each waive any right to a jury trial. We also both agree that you or we may bring suit in any court of competent jurisdiction to enjoin infringement or other misuse of intellectual property rights, including with respect to temporary restraining orders.
Regardless of forum, we each agree that any dispute resolution proceedings or lawsuits, whether in arbitration or in a court of law, will be conducted only on an individual basis and not in a class, or representative action. Therefore, you waive all rights to bring claims on behalf of a class of persons; however, you may still bring an individual claim for public injunctive relief and in small claims court. Nothing in this provision, however, should operate to prevent the parties from settling claims on a class-wide basis or otherwise coordinating claims filed in arbitration.
17. Governing Law; Jurisdiction
These Terms shall be governed by the laws of New York without regard to any conflict of law principles. Further, you and we agree to the jurisdiction of a state or federal court in the State of New Jersey to resolve any dispute, claim, or controversy that relates to or arises in connection with these Terms (and any non-contractual disputes and/or claims relating to or arising in connection with it) and that is not subject to mandatory arbitration under Section 16 above.
18. App Store Providers
To the extent permitted by applicable law, the following supplemental terms shall apply when accessing the Site through specific devices:
Apple
By downloading the App from a device made by Apple, Inc. (“Apple”) or from Apple’s App Store, you specifically acknowledge and agree that:
- These Terms are between Orthodox Union and you; Apple is not a party to these Terms.
- The license granted to you hereunder is limited to a personal, limited, non-exclusive, non-transferable right to install the App on the Apple device(s) authorized by Apple that you own or control for personal, non-commercial use, subject to the Usage Rules set forth in Apple’s App Store Terms of Services.
- Apple is not responsible for the App or the Content thereof and has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App, if any, to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
- Apple is not responsible for addressing any claims by you or a third party relating to the App or your possession or use of the App, including without limitation (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar legislation.
- In the event of any third-party claims that the App or your possession and use of the App infringes such third party’s intellectual property rights, Apple is not responsible for the investigation, defense, settlement or discharge of such intellectual property infringement claim.
- You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms of agreement when using the App.
- Apple and its subsidiaries are third party beneficiaries of these Terms and upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary hereof.
Google Play
By downloading the App from Google Play (or its successors) operated by Google, Inc. or one of its affiliates (“Google”), you specifically acknowledge and agree that:
- To the extent of any conflict between (a) the Google Play Terms of Services and the Google Play Business and Program Policies or such other terms which Google designates as default end user license terms for Google Play (all of which together are referred to as the “Google Play Terms”), and (b) the other terms and conditions in these Terms, the Google Play Terms shall apply with respect to your use of the App that you download from Google Play; and
- You hereby acknowledge that Google does not have any responsibility or liability related to compliance or non-compliance by Orthodox Union or you (or any other user) under these Terms or the Google Play Terms.
19. Miscellaneous
You represent and warrant that you shall comply with all laws and regulations that apply to your access and use of the App and any App-related services, including, but not limited to, any applicable national laws that prohibit the export or transmission of technical data or software to certain territories or jurisdictions.
We reserve the right to seek all remedies available at law and in equity for violations of these Terms, including the right to remove your account and any contents generated by you on the App, block your access to the App, block IP addresses.
If any provision of these Terms is held to be unenforceable, the remaining Terms shall remain in full force and effect, and the unenforceable provision shall be replaced by an enforceable provision that comes closest to the intention underlying the unenforceable provision.
No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any right.
